1. What OrgTool is

OrgTool ("the Software") is org design and workforce restructuring software distributed as a single, self-contained application that runs on your device. Except where you explicitly opt in to a cloud-connected feature (see Section 4), the Software does not transmit your organizational data to us.

2. Licence

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable licence to use the Software according to your plan tier (Free, Pro, Team, or Enterprise), as described on our Pricing page. Feature availability per tier is controlled by a locally-validated signed licence key; no continuous network connection is required for validation.

3. Your data

You retain all rights to the organizational, personnel, and compensation data you load into the Software ("Customer Data"). Customer Data is stored locally on your device (in browser storage and/or in .orgpack files you choose the location of) unless you explicitly export, share, or transmit it yourself. We do not access, back up, or have a copy of Customer Data in the Software's default, local-only mode.

4. Optional connected features

Two features initiate network connections, only when you choose to use them: (a) signing in via a cloud magic-link account, and (b) AI-assisted role analysis, which — after your explicit, per-session consent, and only with an Anthropic API key you supply — sends a context block from your current scenario directly to Anthropic's API. Neither is required to use the Software.

The Software's restructuring-analysis features (adverse-impact testing, WARN Act threshold evaluation, and related outputs) are provided for informational planning purposes only and do not constitute legal advice.
